These Terms of Use (“Terms”) govern your access to and use of dsgnport.com and its related pages, features, forms, content, and resources collectively referred to as the “Website.”

The Website is operated by DSGNPORT (“DSGNPORT,” “we,” “us,” or “our”), a design studio based in Los Angeles, California.

By accessing or using the Website, you acknowledge these Terms. When you check the agreement box and submit an inquiry or files through the Website, you expressly agree to be bound by these Terms.

If you do not agree to these Terms, do not submit information or materials through the Website.

1. Scope of These Terms

These Terms govern use of the Website only.

They do not, by themselves, govern a paid design project or create a client relationship. Any accepted project will be governed by a separate written proposal, client agreement, statement of work, or other contract.

If a separate written agreement conflicts with these Terms regarding a client project, the separate agreement will control for that project.

Our Privacy Policy also applies to your use of the Website and explains how we collect and process personal information.

2. Eligibility and Authority

The Website is intended for a general business audience and is not directed to children under 13.

By submitting a business or project inquiry, you represent that you have the legal capacity and authority to provide the information and materials submitted.

If you are acting for a business, organization, employer, client, or another person, you represent that you are authorized to act on their behalf.

Anyone entering into a paid client agreement with DSGNPORT must be legally capable of entering into a binding contract.

3. Website Information

The Website provides general information about DSGNPORT, our work, and our services.

Website content is provided for general informational purposes and may be changed, corrected, removed, or updated without notice.

Nothing on the Website constitutes:

  • A binding offer

  • A guarantee that DSGNPORT will accept a project

  • A guarantee of availability

  • A promise of a particular schedule, result, or outcome

You are responsible for determining whether our services are appropriate for your needs.

4. Inquiries, Services, and Pricing

The Website allows visitors to submit inquiries about potential design services. Services cannot be purchased directly through the Website unless we expressly state otherwise.

Submitting an inquiry does not require DSGNPORT to:

  • Respond within a specific period

  • Provide an estimate or proposal

  • Reserve availability

  • Accept the project

  • Begin work

  • Enter into a client relationship

Any prices displayed on the Website are starting prices, estimates, or general informational ranges. They are not binding quotes.

Final pricing may depend on project scope, complexity, schedule, deliverables, revisions, licensing, production requirements, and other circumstances.

A project does not begin until DSGNPORT and the client have entered into a separate written agreement and any required project-start conditions described in that agreement have been satisfied.

5. Submitted Information and Files

You may choose to submit project descriptions, ideas, images, documents, presentations, logos, or other materials through the Website.

You retain ownership of materials you submit.

By submitting materials, you grant DSGNPORT a limited, nonexclusive license to receive, store, open, reproduce, review, and share those materials only as reasonably necessary to:

  • Review and respond to your inquiry

  • Evaluate the requested project

  • Communicate with you

  • Prepare an estimate or proposal

  • Share the materials with necessary employees, contractors, or service providers

  • Provide services after a separate written agreement has been entered into

This permission ends when the material is no longer reasonably necessary for these purposes, except where continued retention is required or permitted for legal, accounting, backup, security, archival, or dispute-related purposes.

You represent and warrant that:

  • You own the submitted materials or have permission to submit them

  • You have authority to grant the permission described in these Terms

  • The materials do not violate intellectual-property, privacy, publicity, confidentiality, contractual, or other rights

  • The materials do not contain malware, harmful code, unlawful content, or prohibited sensitive information

  • The information you submit is not intentionally false, fraudulent, or misleading

You are responsible for maintaining your own copies of all submitted materials. The Website is not a permanent file-storage or backup service.

DSGNPORT may reject, remove, delete, or decline to review a submission at any time.

6. Confidentiality and Similar Ideas

Submitting information or materials through the Website does not automatically create:

  • A client relationship

  • A nondisclosure agreement

  • A fiduciary relationship

  • A formal confidential relationship

  • An obligation to accept or perform a project

  • Exclusivity concerning a general idea, style, method, theme, or concept

Do not submit trade secrets, unreleased confidential materials, or information requiring special protection unless DSGNPORT has signed an appropriate written confidentiality agreement before submission.

DSGNPORT may already be developing, reviewing, or working with concepts, industries, styles, visual directions, or materials that are similar to something you submit.

Receiving your submission does not prevent DSGNPORT from continuing that work or accepting work from another client, provided DSGNPORT does not misuse material protected by an applicable written agreement or law.

7. Intellectual Property

Unless otherwise stated, the Website and its original content are owned by DSGNPORT or used by DSGNPORT with permission.

Protected content may include:

  • Text and service descriptions

  • DSGNPORT branding and logos

  • Website layouts and visual presentation

  • Graphics and illustrations

  • Photographs and mockups

  • Case studies and portfolio presentations

  • Videos and animations

  • Downloadable materials

  • Code and Website elements

  • The selection, arrangement, and presentation of Website content

Certain materials displayed on the Website may belong to clients, photographers, artists, licensors, software providers, typeface providers, stock-media providers, or other third parties. Those materials remain the property of their respective owners.

DSGNPORT’s display of client names, logos, trademarks, or project materials does not transfer ownership of those materials to DSGNPORT or to Website visitors.

All rights not expressly granted under these Terms are reserved.

8. Limited Permission to Use the Website

Subject to these Terms, DSGNPORT grants you a limited, revocable, nonexclusive, and nontransferable permission to access and view the Website for personal use or internal business-evaluation purposes.

You may not copy, reproduce, modify, distribute, republish, publicly display, sell, license, or commercially exploit Website content without prior written permission from DSGNPORT or the applicable rights holder.

You may link to the Website in a lawful manner that does not falsely suggest sponsorship, endorsement, affiliation, or approval.

DSGNPORT may revoke this permission at any time.

9. Prohibited Conduct

You may not use the Website to:

  • Violate any law or regulation

  • Infringe intellectual-property, privacy, publicity, confidentiality, contractual, or other rights

  • Submit material you do not own or have permission to provide

DSGNPORT may restrict or terminate access to the Website when we reasonably believe these Terms have been violated.

10. Portfolio Work and Third-Party Materials

The Website may display work completed for clients or in collaboration with third parties.

Client names, logos, trademarks, products, photographs, text, and other materials appearing in portfolio work may remain owned by the applicable client or third party.

Portfolio presentations may include mockups, licensed resources, stock materials, typefaces, platform elements, or other third-party content used for presentation purposes.

You may not extract or reuse portfolio materials merely because they are displayed on the Website.

Unless expressly stated, displaying a project does not mean that DSGNPORT owns every element shown, that a client endorses every current DSGNPORT service, or that identical results can be produced for another client.

11. Testimonials and Results

The Website may include testimonials, case studies, project descriptions, or examples of prior work.

These materials describe individual projects or experiences and are not promises or guarantees of future results.

Design outcomes depend on project scope, client participation, supplied content, approvals, market conditions, production methods, implementation, and other circumstances outside DSGNPORT’s control.

12. Third-Party Services and Links

The Website may rely on or link to third-party websites, platforms, software, fonts, analytics tools, advertising tools, payment providers, social platforms, or other services.

DSGNPORT does not control and is not responsible for:

  • Third-party content

  • Privacy or security practices

  • Availability or performance

  • Products or services

  • Pricing or policies

  • Actions or omissions of a third party

Your use of a third-party service is governed by that third party’s own terms and policies.

The inclusion of a link, integration, or reference does not necessarily mean that DSGNPORT sponsors, endorses, or is affiliated with the third party.

We do not guarantee that:

DSGNPORT disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and security.

We do not warrant that the Website will be free from viruses, harmful components, errors, interruptions, data loss, or unauthorized access.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted.

15. Limitation of Liability

To the fullest extent permitted by law, DSGNPORT and its owners, employees, contractors, representatives, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to:

  • Your inability to access or use the Website

  • Your reliance on Website information

  • Loss of data, files, revenue, profits, opportunities, goodwill, or business

DSGNPORT will not be responsible for losses that were not reasonably foreseeable or that resulted from circumstances outside our reasonable control.

These limitations apply only to claims arising from use of the Website. They do not govern services provided under a separate signed client agreement. Any limitations of liability contained in that agreement will apply to the applicable project.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, or other conduct for which liability may not be limited under applicable law.

16. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless DSGNPORT and its owners, employees, contractors, and representatives from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from or relating to:

  • Materials you submit or upload through the Website

  • Your breach of these Terms

  • Your violation of applicable law

  • Your violation of another person’s intellectual-property, privacy, publicity, confidentiality, contractual, or other rights

  • Fraudulent, misleading, malicious, or unauthorized activity conducted through your use of the Website

This obligation will not apply to the extent that a claim results from DSGNPORT’s own fraud, willful misconduct, or conduct for which liability cannot legally be limited.

DSGNPORT will provide reasonable notice of a covered claim and may participate in or control its defense. You agree to provide reasonable cooperation in connection with that defense.

17. Intellectual-Property Concerns

18. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any legal action arising from or relating to these Terms or the Website must be brought in the state courts located in Los Angeles County, California, or the federal courts located in the Central District of California, unless applicable law requires a different location.

You consent to the personal jurisdiction of those courts.

19. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be posted on the Website with a revised Last Updated date.

Changes apply to Website use occurring after the updated Terms are posted. Material changes will not retroactively modify a separate signed client agreement unless that agreement expressly permits the change.

Your continued use of the Website after revised Terms are posted means that the revised Terms will apply to your subsequent use.

20. Severability and Waiver

If a provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.

A failure by DSGNPORT to enforce a provision does not waive the right to enforce it later.

21. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and DSGNPORT concerning use of the Website.

They do not replace or modify a separate signed client agreement, proposal, statement of work, license, or confidentiality agreement.
